The terms and conditions governing your use of the Simplicity Fintech platform and services.
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Simplicity Fintech Solutions India Pvt. Ltd. ("Simplicity Fintech", "Company", "we", "us", or "our"), governing your access to and use of the Simplicity Fintech platform, website (simplicityfintech.com), mobile applications, and all associated services (collectively, the "Services").
By registering for, accessing, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease use of the Services.
These Terms are in addition to any specific agreements you may enter into with us for the provision of Services.
The Services are intended exclusively for use by SEBI-registered Mutual Fund Distributors (MFDs), Independent Financial Advisors (IFAs) holding a valid ARN number, SEBI-registered Investment Advisers, and equity sub-brokers registered with NSE or BSE. You must be at least 18 years of age and legally capable of entering into binding contracts under Indian law.
To access the Services, you must create an account and provide accurate, complete, and current information including your name, ARN number, contact details, and business information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately at support@simplicityfintech.com if you suspect any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to comply with this obligation.
You represent and warrant that all information you provide during registration and throughout your use of the Services is accurate, complete, and not misleading. You agree to update your information promptly if it changes.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your own internal business operations as a registered MFD, IFA, or financial intermediary in India.

Certain features of the Services employ artificial intelligence and automated agents ("Agentic AI") to assist with advisory workflows. You acknowledge and agree that:
You retain ownership of all data relating to your clients ("Client Data") that you input into or generate through the Services. By using the Services, you grant us a limited licence to process Client Data solely for the purpose of providing and improving the Services.
You are responsible for ensuring that you have obtained all necessary consents from your clients to share their data with us and to authorise us to process it on their behalf. You must comply with all applicable data protection laws when using the Services to process personal data of your clients.
Both parties agree to maintain the confidentiality of the other's proprietary and confidential information. This obligation survives the termination of these Terms for a period of three years.
The Services integrate with third-party platforms including NSE Invest, CAMS, KFintech, Angel One, AMFI, NSE, and BSE. Your use of these integrations is subject to the terms and conditions of the respective third-party providers, and we are not responsible for the availability, accuracy, or performance of third-party services.
We make no representations or warranties regarding the accuracy of data received from third-party integrations. You are responsible for verifying the accuracy of all data before relying on it for business decisions.
Access to the Services requires payment of subscription fees as agreed between you and Simplicity Fintech at the time of sign-up or as updated from time to time with reasonable notice. All fees are exclusive of applicable taxes including GST.
We reserve the right to suspend or terminate access to the Services in the event of non-payment of fees after providing reasonable notice. All fees paid are non-refundable unless otherwise agreed in writing.
All intellectual property rights in the Services, including but not limited to the platform software, user interface, design, trademarks, logos, content, and documentation, are owned by or licensed to Simplicity Fintech Solutions India Pvt. Ltd. Nothing in these Terms transfers any intellectual property rights to you.
You may not use our trademarks, logos, or brand elements without our prior written consent.
We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may perform scheduled maintenance, upgrades, or emergency modifications that temporarily affect availability. We will endeavour to provide advance notice of scheduled downtime where reasonably practicable.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where feasible. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be error-free, uninterrupted, or free from viruses or other harmful components.
The Services are operational and support tools only. Nothing in the Services constitutes investment advice, financial advice, or a recommendation to buy or sell any security or financial product. All investment decisions remain your sole responsibility.
To the maximum extent permitted by applicable law, Simplicity Fintech Solutions India Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or in connection with your use of or inability to use the Services, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the fees paid by you to us in the three months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Simplicity Fintech Solutions India Pvt. Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your violation of these Terms, your violation of any applicable law or regulation, or your infringement of any third-party rights.
Either party may terminate these Terms upon 30 days' written notice. We may terminate or suspend your access to the Services immediately and without notice if you breach these Terms, if required by law, or if we reasonably determine that your use of the Services poses a risk to us, other users, or third parties.
Upon termination, your right to access the Services ceases immediately. You may request an export of your data within 30 days of termination, after which we may delete your data subject to legal retention requirements.
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days from the date of written notice of the dispute.
We reserve the right to amend these Terms at any time. We will notify you of material changes by email or through a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date of any amended Terms constitutes your acceptance of the changes.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Simplicity Fintech with respect to the Services.
